ExxonMobil is planning to move its legal incorporation from New Jersey to Texas, citing the state’s increasingly business-friendly legal and regulatory environment. The company’s board of directors has unanimously recommended that shareholders approve the move at the annual meeting on May 27.
If approved, this would be ExxonMobil’s first legal domicile change since registering in New Jersey in 1882 as Standard Oil, before evolving into Exxon and merging with Mobil.
While the legal domicile will change, operations and employee locations will remain unaffected. ExxonMobil has been headquartered in Texas since 1989, with major operations in Spring, a Houston suburb, and about 30% of its workforce in the state.
ExxonMobil Chair and CEO Darren Woods cited Texas’ policies and regulatory framework as key factors in the decision.
“Over the past several years, Texas has made a noticeable effort to embrace the business community,” Woods said. “Aligning our legal home with our operating home, in a state that understands our business and has a stake in the company’s success, is important.”
Texas leaders welcomed the announcement. Gov. Greg Abbott credited the state’s pro-business policies and recent legal reforms, such as the Texas Business Court and the 15th Court of Appeals, which began operating in 2024 to handle complex commercial disputes.
If the move is approved, ExxonMobil would join several major companies, including Tesla, SpaceX, and Coinbase, that have recently relocated their corporate legal homes to Texas.
Despite this trend, Delaware remains the dominant incorporation hub for U.S. corporations.
